In all of its business dealings with suppliers, customers and petitors, Spectra will:  Compete vigorously and with integrity.  Treat all customers and suppliers honestly, fairly and objectively.  Not discuss pricing or any matter affecting pricing with petitors.  Avoid any unfair or deceptive practice and always present services and products in an honest and forthright manner.  Never criticize a petitor’s product without a good basis and for facts supporting such statements. Never act in a manner designed to exclude petitors from the market place.  Make clear to all suppliers that we expect them to pete fairly and vigorously for our business and we will select our suppliers strictly on merit. Back to Index 12/4/20 8/66 Business Gifts amp。 Payments Spectra’s business decisions would be made on merit and hence it doesn’t believe in accepting gifts. However Spectra will act inconformity with the Law of Land and agreed norms in terms of extending a business gift, promotional item or a favor to facilitate redressal of matters causing business hindrance. This however should not be construed as an inducement. No associate can accept cash, gifts, or in kind. Value of any promotional gifts must not exceed USD30 per item and must bear the insignia or logo of the sponsoring vendor or customer. In appropriate circumstances, Associates may provide existing or potential customers with reasonable entertainment or gifts. However, the gifts must be permitted by local law, the customer’s own policies and our anizational policies. On the other hand existing customers extending promotional items such as calendars, diaries or pens can be politely accepted without causing embarrassment to the customer. Value of such gifts cannot exceed USD30 per item. Safety amp。 Environmental Protection Spectra is mitted to providing safe and healthy work environments and to being an environmentally responsible corporate citizen. It is our policy to ply with all applicable environmental, safety and health laws and regulations. Spectra is dedicated to designing, constructing, maintaining and operating facilities that protect our people and physical resources. This includes providing and requiring the use of adequate protective equipment and measures and insisting that all work be done safely. Spectra believes that protecting the environment is an important part of good corporate citizenship. Spectra is mitted to minimizing the impact of our businesses on the environment with methods that are socially responsible, scientifically based and economically sound. Political amp。 Community Activities amp。 Contributions Spectra believes in contributing to society and encourages Associates to participate in munity activities. All Associates of Spectra will continue to municate information and opinions on issues of public concern, which may affect Spectra. Decisions by our Associates whether or not to contribute time, money or resources of their own to any political or munity activity are entirely personal and voluntary. Back to Index 12/4/20 9/66 Conflicts Of Interest Spectra’s conflicts of interest policy is straightforward: Don’t pete with Spectra’s businesses, and never let any Associate’s business dealing on behalf of any of Spectra’s businesses be influenced, or appear to be influenced, by personal or family interests. Examples of conflicts that must be disclosed and resolved include:  Having a family interest in a transaction with Spectra or one of its divisions or subsidiaries (the Company).  Having a substantial financial interest in a petitor, supplier or customer of the Company through Ownership or otherwise.  Having a substantial interest in an anization that has, or seeks to do business with the Company.  Participating in a venture as a promoter where the Company has expressed an interest.  Despite being an Associate of the anization, deliberately try to have an interest in property (such as real estate, patent rights, securities or other properties) where the Organization has, or might have, an interest.  Receiving a gift, favor, loan, special service, payment or special treatment of any kind from any individual or anization which conducts or seeks to conduct business with the Company, or which petes with the Company, unless: o It would be consistent with good business practices. o It could not be construed as a business inducement. o It is of nominal value. o Public disclosure of the transaction would not embarrass Spectra. Insider Trading amp。 Proprietary Information Spectra obeys all laws designed to protect the investing public with respect to disclosure of material information. Associates should not effect any transaction in the securities of Spectra or another pany involved with Spectra while they have material nonpublic information about that pany. Associates should not disclose material nonpublic information to anyone outside Spectra (including family associates), except where disclosure is needed to enable Spectra to carry on its business, and there is no reason。
